Service Agreement

(This is a legal document to agree upon services and information provided)

Between:
(1) Enduring Fruits, a freelancing business with website speciality in the United States, California.

Whereas:
The service provider (1) will provide the following services set forth in this agreement and the buyer (2) wishes to use such services.
Services:

  • Overview Summary
    Enduring Fruits     may provide one or more of the services listed below: (Services may be added, modified or removed in the future) [Refunds up to 100% will be processed if Enduring Fruits does not uphold their responsibilities as discussed before/during/after the website build or in the service agreement. Refunded websites will be removed or altered and used for other clients.] The client may cancel monthly service at any time by contacting Enduring Fruits through phone, text, or email. For specific product/service refunds, please read below. Enduring Fruits holds the right to decline or cancel (without reason) the services we offer / provide to or requested by the buyer. We also hold the right to decline/disrupt services that are associated with or promote nudity, obscene or profane content, immoral involvement / activity, or are religious based. Each year beginning in January, any updates or modifications to this Service Agreement will automatically take effect. In the event of any changes to pricing, Enduring Fruits will provide the Buyer with notice at least one (1) month prior to renewal, or sooner when applicable. New payment or payment of any renewal invoice constitutes the Buyer’s acceptance of the updated Service Agreement. Overall, Enduring Fruits goal is to build and host high-quality, functional websites for every buyer/client, meeting their goals to the best of our ability.

Ownership of Deliverables, Third-Party Materials & Refund Terms
Upon full payment and completion of the product/services provided, including but not limited to: websites, all rights to the final design, structure, custom content (besides unpaid third-party content), custom logos (created by Chat GPT / Canva / other), custom qr-codes, and the domain name(s) are transferred to the Buyer. The Buyer understands the website may include third-party materials (e.g., Canva graphics, stock images) licensed for use but not owned outright. Even though it is common in the website industry to use third-party content, Enduring Fruits takes no responsibility for any copyright claims arising from such materials. The Buyer is responsible for replacing or licensing any third-party content if exclusive ownership is desired. Domain Names are nonrefundable once purchased or claimed. Hosting fees are refundable solely for the unused portion of the current month.

Pricing:
Website Design — $ Custom One-Time Fee
Hosting — $ Custom Fee Per Month (Usually $25 or more for more maintenance or heavier usage-consuming websites (including eCommerce and informational)
Domain Name — $ Custom Fee Per Year
QR Code — $ Custom Fee Per Month
Logo Creation — $ Custom Fee Upon Agreement — 2 Modification Request Allowed per Design after Original Design
Service to create and/or host any other product — $Custom on agreed terms
Total: $Custom — Total Owed to Enduring Fruits: $ custom per agreed upon terms
Where applicable, pricing is subject to increase due to inflation and other factors.

  • Products / Services:

Website Design — Informational websites (no transactions) and eCommerce websites (transactions enabled) may include between 1 and 10 pages, including subpages, containing information and/or content related to the buyer’s business or organization. Subdomains are considered separate websites and require their own hosting plan. As a courtesy, Enduring Fruits may provide stock images from Pexels, as is standard practice in the website industry; however, the buyer is solely responsible for replacing any images to address potential copyright concerns by providing suitable replacements to Enduring Fruits. The buyer is also responsible for supplying any required legal documents, such as Privacy Policies, Terms of Use, CCPA notices, or other applicable policies. — Enduring Fruits is not responsible for the loss of any website or its data after completion and delivery. Frequent or ongoing eCommerce website changes are not included beyond the yearly allowance stated in this agreement. While Enduring Fruits will honor all terms of this agreement and may offer additional changes at its discretion, clients are encouraged to make changes themselves whenever possible. Websites created using purchased templates may be advertised and sold by Enduring Fruits to other clients or the general public. The pricing for Enduring Fruits websites is made possible through the purchase of hosting services directly with us. If a client chooses to host their website elsewhere, Enduring Fruits is no longer responsible for or under any obligation in regard to the website.

Hosting — Hosting involves storage of the website files on a shared server and maintenance of the website. Maintenance includes updating plugins/themes, security maintenance, performance checks, and ability to provide changes each year (please see Product / Service Limitations for more information on this).
Domains — Enduring Fruits offers custom domains through Enom and is selected by the buyer. The Domain is not refundable. If within 8 days from purchase, refund may be processed but is not guaranteed. While our return policy differs from “ICANN”, please see “ICANN” for the most updated information on returns as all domains are verified through them, and we may make an exception for a return.
Logo Creation — A logo is a symbol, design, or graphic mark that represents a business, organization, product, or brand. Logos can include text, images, icons, or be in a combination.
QR Code — A QR code (Quick Response code) is a type of barcode that stores information, (a website link in this case), which can be quickly scanned using a smartphone or other device. It allows users to access the website without typing.

Due Dates:

All agreed upon services will be provided on a monthly basis and/or an agreed upon time schedule. Standards Informational websites are typically completed in 1 week; whereas, eCommerce websites are typically completed within 1-4 weeks, depending on the complexity of the design and features. In certain circumstances, any website may take from 1 day to 3 months depending on both the complexity of the website and/or communication time. If beyond the 3 month timeframe, Enduring Fruits may choose to end the service agreement or continue. Website Hosting is a service that is run monthly (while the storing of the website files on the servers is to run every day, other functions of the service, like maintenance, performance checks and others may not be performed every day). Other services will be provided on the scheduled or agreed upon time frame.

Products / Service Limitations:

Informational / Ecommerce Websites | Hosting

  • On-Going Website Changes: The pricing for Enduring Fruits websites is made possible through the purchase of hosting services directly with us. If a client chooses to host their website elsewhere, Enduring Fruits is no longer responsible for or under any obligation in regard to the website.

  • Minor Changes: 12 minor changes to the website are allowed per year (Enduring Fruits may allow more at their discretion). The 12 changes/year period begins 30 days after (where only 20 changes are allowed in the 30 days) Enduring Fruits confirms the official completion of the website (It is standard that some final changes and SEO may not be included in “completion”).

  • Advanced Changes: Advanced changes — such as adding new pages or modifying content that takes more than 15 minutes — will result in Enduring Fruits notifying the buyer that they will incur an additional fee for the request(s), which will vary based on the work required.

  • Included Images at Launch: Informational sites include up to 120 images max at launch; e-commerce sites include up to 240 images max at launch. Images will be web-optimized (≤ 2560 px, target ≤ 500 KB each) upon Enduring Fruits decision.

  • Ongoing Image Changes: Adding/replacing images counts toward the annual change limit. A batch of up to 25 images counts as 1 change; larger batches will incur additional charges. Clients may add or replace up to 25 images per month until the 2 GB (informational) or 3 GB (e-commerce) storage limit is reached.

  • Storage & Bandwidth Limits:

    • Informational websites: 1 GB storage limit (typically under 1 GB) and 10 GB monthly bandwidth limit.

    • E-commerce websites: 1.5 GB storage limit (typically under 1.5 GB) and 12 GB monthly bandwidth limit.

    • Both limits include cPanel usage.

    • (If the limit is met or exceeded, the client will be provided a notice with solutions to reduce storge. If no action is taken and brings resolve to the issue within 30 days, Enduring Fruits holds the right to disrupt/terminate the clients website/account).

  • Client-Provided Media: Buyer must supply rights-cleared media suitable for web use. Very large files (e.g., > 1 MB per image, RAW files, 4K videos) may be rejected, resized, or billed for optimization.

  • Overages: If storage or bandwidth limits are exceeded, Buyer must reduce content or upgrade their plan. Enduring Fruits may suspend hosting services until the overage is resolved or Buyer may face termination after 1 month if there is no resolve. 

  • Hosting Payments: Hosting fees are billed automatically on a recurring basis. Late fees may apply for overdue payments.

SEO (search engine optimization) — SEO is an add on to the website helps it ranker higher in the internet search’s like Google, Yahoo, Bing, etc. SEO requires a yearly plan. Refunds are at Enduring Fruits disposal.

Logo Creation — Logos, Graphic Designs, Digital Edits, Content Creation may be created with canva, chatgpt or other, and may include elements / graphics that are available to the public. Please be aware of this and have a legal search done before choosing to copyright / trademark any designs or creations we provide.
Enduring Fruits offers one custom logo. The buyer can make 2 requests, each request consisting up to three modifications to the design.

Custom QR Code — The QR code can be static, or it can also be static by design, but through pre-planned modification, allow the ability to change the QR code link, similar to a dynamic QR code. The buyer can connect one link at most and of their choosing as long as it is within Enduring Fruits policies as stated in the overview summary. Enduring Fruits offers two QR codes for the client to choose. The buyer may make 1 request of three modifications at maximum to change the QR code unless Enduring Fruits allows more. The limit to change the link in this custom QR code is four times a year. 
The QR code requires yearly plan. There is a 30-Day Money-Back Guarantee refund for the QR code purchase. If the client exceeds the 30 day limit from delivery of product, Enduring Fruits holds the rights to reject the refund request or provide a partial refund of choice at our disposal.

Payment Method: (Fees may have changed – please confirm info beforehand – Hosting is by card only or bank deposit/transfer if accepted by Enduring Fruits)
